Any service agreement and any dispute, disagreement, or issue of construction or interpretation, whether relating to its execution, its validity, the obligations provided herein, or performance, shall at all times be governed by the laws of the province of Ontario in the country of Canada.

Any action, suit or proceeding, arising out of, under or in connection with a service agreement, including seeking an injunction, shall be brought and determined in the appropriate federal or provincial court or tribunal in the province of Ontario in the country of Canada and in no other forum. The parties hereby irrevocably and unconditionally submit to the jurisdiction of such courts and tribunals and agree to take any and all action necessary to submit to the jurisdiction of such courts and tribunals in any such suit, action or proceeding arising out of or relating to that agreement.

Any action, suit or proceeding, arising out of, under or in connection with the service agreement, including seeking an injunction, shall be subject to the limits of liability as stated above for the service agreement.
